Terms of Service

This document is a draft pending solicitor review. It does not yet constitute a legally binding agreement.

1. Introduction

These Terms of Service ("Terms") govern your use of the SkillsRX mobile application ("the App") and the website at skillsrx.app ("the Website"), collectively referred to as "the Service." The Service is operated by SkillsRX Ltd, a company registered in England and Wales ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

2. Eligibility

The Service is intended for users aged 18 and over. By creating an account, you confirm that you are at least 18 years of age. If we become aware that a user is under 18, we will terminate their account and delete their data in accordance with our Privacy Policy.

You must provide accurate and complete information when creating your account and keep your login credentials secure. You are responsible for all activity that occurs under your account.

3. Description of the Service

SkillsRX provides adaptive gymnastics skill progression coaching for CrossFit athletes. The Service includes:

  • Six skill paths (pull-ups, toes-to-bar, handstand walks, handstand push-ups, ring muscle-ups, and bar muscle-ups) with levels 1 through 5
  • Daily adaptive training sessions (approximately 15–20 minutes) with video demonstrations and coaching cues
  • Session feedback and adaptive difficulty adjustment
  • Level-up assessments
  • Progress tracking and session history
  • Coach's Corner weekly video tips

The specific features and content available through the Service may change over time as we develop and improve the App. We reserve the right to add, modify, or remove features at our reasonable discretion, provided that any changes do not materially reduce the core functionality of the Service during an active subscription period.

4. Subscription and Pricing

4.1 Free Trial

New subscribers receive a 7-day free trial. During the trial, you have full access to all features of the Service. You will not be charged during the trial period.

If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate. You may cancel at any time during the trial at no cost.

Only one free trial is available per person. We reserve the right to limit or withdraw the free trial offer at any time.

4.2 Subscription Plans

The Service is available on the following subscription basis:

  • Monthly: £9.99 per month
  • Annual: £89.99 per year

Prices are inclusive of VAT where applicable. We reserve the right to change our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.

4.3 Payment

Payments are processed through the Apple App Store (for iOS), Google Play Store (for Android), or Stripe (for web subscriptions), depending on how you subscribe. Your payment method will be charged at the start of each billing cycle (monthly or annually) unless you cancel before the renewal date.

By subscribing, you authorise recurring payments at the applicable rate until you cancel.

4.4 Cancellation

You may cancel your subscription at any time:

  • iOS: Through your Apple ID subscription settings
  • Android: Through Google Play subscription settings
  • Web: Through your account settings on skillsrx.app, or by contacting support@skillsrx.app

Upon cancellation, you will retain access to the Service until the end of your current billing period. No partial refunds are given for unused time within a billing period.

4.5 Refunds

Refund policies are governed by the platform through which you subscribed:

  • Apple App Store: Refunds are handled by Apple in accordance with their refund policy. You can request a refund at reportaproblem.apple.com.
  • Google Play Store: Refunds are handled by Google in accordance with their refund policy.
  • Web (Stripe): If you believe you have been charged in error, contact support@skillsrx.app within 14 days of the charge. We will review your request and issue a refund where appropriate. Under the Consumer Contracts Regulations 2013, you have a 14-day cooling-off period from the date of purchase during which you may cancel for a full refund, provided you have not used the Service during that period.

5. Acceptable Use

You agree to use the Service only for its intended purpose: personal fitness training and skill development. You must not:

  • Share your account credentials with others or allow others to access the Service through your account
  • Copy, reproduce, distribute, or publicly display any content from the Service, including but not limited to video demonstrations, coaching cues, training programmes, and written materials
  • Reverse engineer, decompile, or disassemble the App or any part of the Service
  • Use the Service for any commercial purpose, including reselling access, using content in your own coaching business, or creating derivative works
  • Attempt to circumvent any access controls, subscription requirements, or security measures
  • Use automated tools, bots, or scrapers to access the Service or extract content
  • Upload or transmit any malicious code, viruses, or harmful content
  • Use the Service in any manner that violates applicable law or regulation
  • Harass, abuse, or harm other users or our staff

We reserve the right to suspend or terminate your account if you breach these Terms, without refund for any remaining subscription period.

6. Health and Safety Disclaimer

6.1 Not Medical Advice

The Service provides fitness coaching and exercise programming. It is not a substitute for professional medical advice, diagnosis, or treatment. You should consult a qualified healthcare professional before beginning any exercise programme, particularly if you have any pre-existing medical conditions, injuries, or concerns about your physical health.

6.2 Assumption of Risk

Physical exercise carries inherent risks, including the risk of injury. By using the Service, you acknowledge and accept these risks. You are solely responsible for:

  • Assessing your own fitness level and physical capability
  • Performing exercises with proper form and within your ability
  • Using appropriate equipment that is in good working condition
  • Stopping any exercise that causes pain or discomfort
  • Seeking medical attention if you experience any adverse symptoms

The adaptive difficulty feature of the Service is based on your self-reported feedback and is not a substitute for professional assessment of your physical capabilities.

6.3 Limitation of Liability

To the maximum extent permitted by law:

  • We do not accept liability for any injury, loss, or damage arising from your use of the Service, including but not limited to injuries sustained while performing exercises demonstrated or recommended by the Service.
  • Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7. Intellectual Property

7.1 Our Content

All content within the Service — including but not limited to video demonstrations, coaching cues, exercise descriptions, training programmes, text, graphics, logos, icons, images, audio, and software — is owned by SkillsRX Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use only. This licence does not include the right to:

  • Download, record, or save video content for offline use beyond what the App expressly permits
  • Reproduce, distribute, or publicly display any content from the Service
  • Create derivative works based on the Service or its content
  • Use our trademarks, logos, or branding without prior written consent

7.2 Your Content

If you submit any content to the Service (such as feedback, session notes, or communications), you grant us a non-exclusive, royalty-free, worldwide licence to use that content for the purpose of operating and improving the Service. You retain ownership of any content you submit.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you. We are not required to treat such feedback as confidential.

8. Account Termination

8.1 By You

You may close your account at any time by contacting support@skillsrx.app. Account closure does not automatically cancel an active subscription — you must cancel your subscription separately through the relevant platform (Apple, Google, or web) before closing your account.

8.2 By Us

We may suspend or terminate your account at any time if:

  • You breach these Terms
  • We are required to do so by law
  • We reasonably believe your account has been compromised
  • You have not used the Service for more than 12 consecutive months

If we terminate your account for breach of these Terms, no refund will be provided. If we terminate your account for any other reason, we will provide a pro-rata refund for any unused subscription period.

8.3 Effect of Termination

Upon termination, your right to access the Service ends immediately. We will retain your data for 30 days following account closure, after which it will be deleted in accordance with our Privacy Policy. You may request a copy of your data before deletion by contacting support@skillsrx.app.

9. Availability and Service Interruptions

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice)
  • Unplanned technical issues or outages
  • Factors beyond our reasonable control (including but not limited to internet connectivity, third-party service failures, or force majeure events)

We are not liable for any loss or inconvenience caused by temporary unavailability of the Service.

10. Third-Party Services

The Service relies on third-party platforms and services, including but not limited to:

  • Apple App Store and Google Play Store (for app distribution and in-app purchases)
  • Stripe (for web payment processing)
  • RevenueCat (for subscription management)
  • Cloudflare (for video hosting and delivery)
  • Supabase (for data storage and authentication)

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the actions, content, or policies of any third-party service.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights under the law of the country in which you reside, and nothing in these Terms affects those rights.

We encourage you to contact us at support@skillsrx.app to resolve any issues before pursuing formal action. We will make reasonable efforts to resolve complaints within 14 days.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy (available at skillsrx.app/privacy), constitute the entire agreement between you and SkillsRX Ltd regarding your use of the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

12.4 Assignment

We may assign or transfer our rights and obligations under these Terms to a third party (for example, in the event of a merger or acquisition). You may not assign your rights or obligations without our prior written consent.
